These Terms of Use (“Terms”) govern your access to and use of www.clarksthomes.com and any related pages, forms, chat or voice tools, and communications (the “Site”) operated by Clark St Homes LLC (“Clark St Homes,” “we,” “us,” or “our”). By using the Site or submitting information through it, you agree to these Terms. If you do not agree, do not use the Site.

1. Who We Are

Clark St Homes buys residential real estate directly from property owners. We are a buyer acting for our own account. We are not your real estate broker, agent, appraiser, attorney, or advisor, and we do not represent you in any transaction. We may renovate, resell, or assign our interest in a property or purchase contract, and we intend to earn a profit when we do.

2. No Offer; No Obligation

Nothing on the Site is an offer to buy your property. Submitting a form, chatting, or speaking with us does not create a contract or obligate either of us to proceed. Neither you nor Clark St Homes is bound to any purchase or sale unless and until both sign a written purchase and sale agreement. That agreement, not the Site, controls the transaction.

3. Offers and Price Estimates

Any price, price range, or estimate we give you, whether on the Site, by chat, by phone, or in writing before a signed agreement, is preliminary. It is based on the information you provide and on our own assumptions, and it may change after we inspect the property, review title, or learn new facts. Our estimates and offers are not appraisals and may be below what you could receive by listing the property on the open market.

4. No Professional Advice

Content on the Site is general information. It is not legal, tax, financial, or real estate advice. Selling a home has legal and tax consequences. You should consult your own attorney, tax advisor, or licensed real estate professional before you decide to sell.

5. Information You Submit

You must be at least 18 years old to submit information through the Site. When you submit information, you represent that it is accurate and that you own the property or are authorized to discuss its sale. You permit us to use that information to evaluate the property, prepare an offer, and communicate with you, as described in our Privacy Policy.

6. How We Contact You

If you give us your contact information, we may contact you about your property by email, mail, phone call, and text message. Calls and texts to the number you provide may be made using automated technology or an artificial or prerecorded voice, including an AI voice agent, only where you have given the consent shown on the form or tool where you provided your number. Your consent is not a condition of selling your property to us or of receiving an offer. You can ask us to stop at any time by telling us on a call, replying STOP to a text, or contacting us using the details in Section 19.

7. Text Message Terms

• Program. Clark St Homes texts about your property inquiry, appointments, and offers.
• Frequency. Message frequency varies based on your inquiry.
• Cost. Message and data rates may apply.
• Opt out. Reply STOP to any message to stop receiving texts. You may receive one message confirming your opt-out.
• Help. Reply HELP or call 860.554.1140.
• Carriers. Mobile carriers are not liable for delayed or undelivered messages.
• Privacy. We do not sell or share mobile numbers or text-message consent with third parties for their marketing purposes.

8. AI Chat and Voice Tools

The Site and our phone lines may use AI-powered chat and voice agents. We tell you when you are interacting with an AI agent, and conversations may be recorded and transcribed. AI agents can make mistakes. Nothing an AI agent says is a binding offer, a commitment to buy, or professional advice. Only a written agreement signed by an authorized Clark St Homes representative binds us.

9. Acceptable Use

You agree not to:

• use the Site for any unlawful purpose;
• submit false information or information about a property you have no authority to discuss;
• impersonate any person or misrepresent your affiliation;
• interfere with the Site’s security or operation, or attempt unauthorized access to it;
• use bots, scrapers, or other automated tools on the Site without our written consent; or
• use Site content to train or develop any artificial intelligence or machine-learning model without our written consent.

10. Intellectual Property

The Site and its content, including text, images, logos, and design, belong to Clark St Homes or its licensors and are protected by intellectual-property laws. “Clark St Homes” and related logos are our marks. You may view the Site for your personal use. You may not copy, modify, or distribute Site content without our written consent.

11. Third-Party Links and Services

The Site may link to or use third-party websites and tools. We do not control them and are not responsible for their content or practices. Your use of them is governed by their own terms.

12. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT ANY PRICE ESTIMATE, MARKET INFORMATION, OR OTHER CONTENT ON THE SITE IS ACCURATE, CURRENT, OR COMPLETE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLARK ST HOMES AND ITS AFFILIATES, MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. THIS SECTION DOES NOT APPLY TO ANY SIGNED PURCHASE AND SALE AGREEMENT BETWEEN YOU AND US, WHICH IS GOVERNED BY ITS OWN TERMS.

14. Indemnification

You agree to indemnify and hold harmless Clark St Homes and its affiliates, members, managers, employees, and agents from any claims, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, your breach of these Terms, or your submission of false or unauthorized information.

15. Privacy

Our Privacy Policy explains how we collect and use your information. It is incorporated into these Terms by reference.

16. Changes to These Terms

We may update these Terms by posting a revised version on the Site. Changes take effect when posted. Your continued use of the Site after that means you accept the revised Terms.

17. Governing Law; Venue; Jury and Class Waiver

These Terms and any dispute relating to them or the Site are governed by Connecticut law, without regard to conflict-of-laws principles. The exclusive venue for any such dispute is the state and federal courts located in Connecticut, and you consent to their jurisdiction. YOU AND CLARK ST HOMES EACH WAIVE TRIAL BY JURY AND AGREE THAT ANY CLAIM MUST BE BROUGHT INDIVIDUALLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

18. General

If any provision of these Terms is unenforceable, the rest remain in effect and that provision will be enforced to the extent permitted. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Site. Our failure to enforce a provision is not a waiver.
